Terms of Service

These Terms of Service (the "Terms") govern your use of the Hush comment-moderation service, including the dashboard, the connected-channel integrations, and the REST API, MCP server, and CLI (together, the "Service"). The Service is operated bySwat.io GmbH, an Austrian company ("Swat.io", "we", "us"). By creating an account, connecting a channel, or otherwise using the Service, you (the "Customer") agree to these Terms.

The Service is offered for business and professional use only; it is not directed at consumers. Your use of the public usehush.io website is covered by our separatePrivacy Policy. Our processing of personal data within the Service, on your behalf, is governed by ourData Processing Agreement(the "DPA"), which forms part of these Terms.

1. The Service

1.1 Hush detects and acts on unwanted comments — spam, scams, and hateful or explicit content — on the social-media channels you connect (currently Instagram, Facebook, and YouTube) and on any text you submit through the API, MCP server, or CLI.

1.2 The Service applies automated classification and, according to your settings, may automatically hide, flag, or route comments. Automated detection is probabilistic: it may produce false positives (acting on legitimate content) and false negatives (missing unwanted content). See Clause 6.

1.3 We may add, change, or remove features over time. The Service is currently offered as early access and may change more frequently and carry no service-level commitment (Clause 7).

2. Eligibility and account

2.1 You must be at least 18 years old and act on behalf of a business or organisation with authority to bind it to these Terms.

2.2 You are responsible for the security of your account credentials and API keys, and for all activity that occurs under them. Notify us promptly of any unauthorised use.

3. Connected channels and platform rules

3.1 By connecting a social-media channel, you authorise Hush to access that channel and to take the moderation actions you configure (for example, hiding comments) on your behalf, using the permissions you grant during the connection flow.

3.2 Your use of each social-media platform remains subject to that platform's own terms (e.g. Meta's and Google/YouTube's). You are responsible for complying with them and for holding the rights and permissions necessary to connect the channel. You may revoke Hush's access at any time from the dashboard or the platform's settings.

3.3 The Service depends on the access that these platforms make available through their APIs and webhooks. We have no control over those interfaces and do not guarantee that any given platform integration is or remains available (cf. Clause 7.2).

4. Acceptable use

4.1 You agree to use the Service only for its intended purpose and not to:

• resell, sublicense, or provide the Service to third parties as your own;
• circumvent rate limits or usage controls, or use the API, MCP server, or CLI in a way that impairs the Service for others;
• submit content you are not legally permitted to process, or use the Service to facilitate unlawful activity;
• reverse engineer, copy, or attempt to extract the underlying detection engine, rules, or corpus.

4.2 You shall indemnify and hold us harmless from damages arising out of a breach of this Clause 4 or of Clause 3.

5. Your content and our intellectual property

5.1 As between the Parties, you retain all rights to the comments and other content processed through the Service ("Customer Content"). You grant us the limited right to process Customer Content as needed to provide the Service and as set out in the DPA.

5.2 The Service, the detection engine, rules, models, corpus, and all related software and materials are and remain our (or our licensors') intellectual property. During the term you receive a non-exclusive, non-transferable right to use the Service for your own business purposes; no other rights are granted.

5.3 We improve the Service through our own curated detection rules and spam corpus and through aggregated, de-identified signals derived from usage. We do not use Customer Content to train third-party AI models, and aggregated signals do not identify you or any individual.

6. Nature and limits of automated moderation

6.1 We endeavour to detect unwanted comments accurately, but we donot warrant that the Service will identify all spam, scam, hateful, or unlawful content, nor that it will never act on legitimate content. Classification is automated and probabilistic.

6.2 You remain solely responsible for moderation outcomes on your channels — including reviewing, restoring, or overriding automated actions where appropriate — and for the legal admissibility of your use of the Service (including under data-protection, competition, and media law). The assessment of that admissibility is your responsibility.

7. Availability and warranty

7.1 We will use reasonable efforts to keep the Service available and to remedy malfunctions within a reasonable time, but we provide no warranty for any specific functionality or scope of functions. During early access the Service is provided "as is" with no service-level or uptime commitment.

7.2 Because the Service relies on third-party social-media platforms over which we have no influence, we do not guarantee that integration with any particular platform is or remains possible.

7.3 Planned maintenance announced in advance does not constitute unavailability.

8. Fees and payment

8.1 Hush is billed on usage: €5 per 1,000 comments processed, subject to a €15 per month minimum. Your first 5,000 comments are free, once, with no time limit and no payment details required. Discounts may apply (e.g. for prepaid comment credits and for non-profits/NGOs); custom pricing is available for high volumes. The prices in effect are those shown at sign-up.

8.2 Usage is metered and billed monthly in arrears through our payment processor, Stripe (Stripe Payments Europe, Ltd.); prepaid comment credits are available as an alternative. Fees are stated in euro (EUR) and are exclusive of VAT and other applicable taxes, which are added or reverse-charged in accordance with EU B2B rules.

8.3 We may suspend the Service for overdue payment after notice. Except where required by mandatory law, fees already due are non-refundable.

9. Term and termination

9.1 These Terms apply for as long as you use the Service. You may stop using the Service and disconnect your channels at any time.

9.2 We may terminate or suspend the Service for good cause, including where you materially breach these Terms, fail to pay, violate the guidelines of the connected social networks, or use the Service to disseminate content likely to harm our reputation (for example violent, harassing, hateful, or fraudulent content), or where we decide to discontinue the Service.

9.3 After termination we retain the data required to operate your account for a limited period (currently up to four months) so you can resume the Service; you may request immediate deletion at any time, as described in the DPA.

10. Liability

10.1 We are liable only for damage caused by gross negligence or intent. Liability for slight negligence is excluded, except for injury to life, body, or health. The Customer bears the burden of proving gross negligence or intent.

10.2 We are not liable for damage or delay caused by force majeure, labour disputes, natural events, or other circumstances beyond our control — including changes to, or outages of, third-party social-media platforms.

10.3 Claims for damages become time-barred six months after the Customer becomes aware of the damage and the party causing it.

10.4 The liability provisions in this Clause 10 also apply to the DPA.

11. Confidentiality

Each Party shall keep confidential the non-public information it receives under these Terms — in particular the commercial conditions (prices, discounts) and non-public details of the Service — during and after the term, except where the information is public, already known, or must be disclosed by law.

12. Changes to these Terms

We may amend these Terms with at least 30 days' notice, announced on the website and sent to the email address you last provided. If you do not object in writing to lab@swat.iowithin 30 days, the changes are deemed accepted. If you object, the prior version continues to apply and we may terminate on 14 days' notice to the end of the month.

13. Online dispute resolution

The European Commission provides an online dispute-resolution platform at ec.europa.eu/consumers/odr. We are not obliged and do not undertake to participate in dispute- resolution proceedings before a consumer arbitration board.

14. Final provisions

14.1 These Terms, the contract, and the DPA are governed by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-laws rules of private international law.

14.2 The exclusive place of jurisdiction for all disputes is the court with subject-matter jurisdiction at our registered office in Vienna. We are additionally entitled to sue the Customer at its general place of jurisdiction.

14.3 For declarations under these Terms, communication by email is deemed to satisfy the written form within the meaning of § 886 ABGB, even without a qualified electronic signature.

14.4 Should any provision be or become invalid, the remaining provisions stay in force; the invalid provision shall be replaced by a valid one that best achieves its economic purpose.
